We have over two decades of experience representing residential and commercial real estate builders and developers, as well as investors and lenders, on the preparation and structuring of governance related documentation for all types of real estate projects. We regularly advise builders and developers on the creation and operation of master-planned communities, subdivisions, community and master associations, condominium and homeowner communities, mixed-use, commercial, retail, office, multifamily, industrial and resorts, clubs and hotel projects.
Range of Services
- Review and advise regarding project structuring and governance options, including review of plats, declarations, easements, dedications, vertical subdivision declarations and property association documents
- Prepare various documents and instruments of record to ensure proper creation of a community and relationships between various parties and project components
- Prepare development agreements, master covenants, declarations, use restrictions, commercial project reciprocal easement agreements and cost sharing agreements
- Creation and formation of residential and commercial property associations, homeowners associations, and condominium associations
- Creation of Community Development Districts (CDDs)
- Facilitate and obtain regulatory approvals for the sale and marketing of projects
- Purchase and sales contract compliance and enforcement issues under the Florida Condominium Act, Florida Homeowners Association Act and other applicable legal requirements
- Create project specific disclosures and addenda for sales contract disclosures ideal for builders and developers
- Review property management agreements
- Facilitate requirements for “land banking” documentation and requirements
- Advise clients on legal matters that might arise prior to completing a community following its creation
- Diligence review of existing documents in connection with the acquisition or financing of property subject to declarations and commercial or residential associations
